Start your own business in UAE
Offshore company formation in Dubai means registering a limited company in a UAE offshore jurisdiction such as RAK ICC or JAFZA to hold assets or conduct business internationally, not trade inside the UAE. It gives foreign investors, entrepreneurs, holding companies, international traders, and consultants with clients abroad 100% ownership, privacy, and asset protection without renting an office or hiring staff. Registration usually takes about a week through a registered agent and costs from AED 10,000.
This guide explains what a Dubai offshore company can and cannot do, how RAK ICC, JAFZA Offshore, and Ajman Offshore compare on features and cost, and when offshore is a better fit than a free zone or mainland company. It also walks through the setup steps, required documents, bank account opening, current tax and compliance points, and the key issues that matter if you want a low-running-cost UAE structure for international business or asset protection. A&A Associate is a registered agent with RAK ICC and JAFZA, and we handle offshore business setup in Dubai end to end.
What is an offshore company in Dubai?
An offshore company is a limited company registered in a UAE offshore jurisdiction — RAK ICC, JAFZA Offshore, or Ajman Offshore — that conducts its business outside the UAE. It can hold overseas investments, own intellectual property, invoice international clients, and open a UAE corporate bank account. It cannot trade inside the UAE, lease office space, or sponsor residence visas.
The structure suits holding companies, international traders, consultants with clients abroad, and investors who want UAE-based asset protection with minimal running costs.
Honest comparisonWhat can an offshore company do — and what can't it?
| Can | Cannot |
|---|---|
| Trade internationally and invoice clients outside the UAE | Trade with customers inside the UAE |
| Open a UAE corporate bank account | Lease physical office space in the UAE |
| Hold shares in other companies (UAE and foreign) | Sponsor UAE residence visas for owners or staff |
| Own Dubai real estate (JAFZA Offshore; RAK ICC in approved projects) | Carry out banking, insurance or media activities |
| Hold intellectual property and collect royalties | Obtain a UAE trade license for local business |
| Keep shareholder details private | Avoid UAE corporate tax registration obligations |
This table is the honest version of the pitch. The structure suits a UAE offshore company used for international business, international trading, and international operations like holding overseas investments or invoicing clients abroad, while also supporting asset management, wealth management, and protection of business assets for company owners. It cannot trade inside the UAE or provide a UAE residency visa, so if you need business in Dubai or access to the UAE market, an onshore company, free zone companies, or UAE free zone companies is the better tool — compare on our Dubai free zone company setup page.
JurisdictionsWhich offshore jurisdiction should you choose?
RAK ICC is the most cost-effective and fastest among the main offshore zones. JAFZA Offshore, under the respective offshore jurisdiction in Jebel Ali Free Zone (JAFZA), is the only offshore vehicle that can own property anywhere in Dubai and carries the strongest name recognition with banks. Ajman Offshore is the budget option for simple holding structures.
| RAK ICC | JAFZA Offshore | Ajman Offshore | |
|---|---|---|---|
| Setup cost (2026, from) | AED 10,000–14,000 | AED 20,000–28,000 | AED 8,000–12,000 |

Structure comparisonOffshore vs free zone vs mainland: which do you need?
The main offshore zones in the UAE suit different goals, while the contrast with other structures such as free zone vs mainland company structures in Dubai is also important:
| Offshore | Free zone | Mainland / onshore company | |
|---|---|---|---|
| Trade inside UAE | No | Within zone / via distributor | Yes, anywhere |
| Residence visas | No UAE residency visa | Yes | Yes |
| Office required | No | Flexi-desk option | Yes |
| Setup cost from | AED 10,000 | AED 5,500 | AED 18,000 |
| Typical use | Holding, international business | SMEs, e-commerce, consultants | Local market, retail, contracting |
Jebel Ali Free Zone (JAFZA) offshore works well for property holding and certain cross-border structures, while RAK ICC is often chosen for asset protection and flexible international operations.
Compared with free zone company structures such as FZE and FZCO, an offshore company in the UAE is generally used for global trade and international trading rather than direct business in Dubai. It does not offer the same route used by UAE companies that need local access, because an onshore company is typically the better fit for the UAE market and day-to-day business activities, especially for investors considering business setup in Abu Dhabi or other emirates. This distinction matters for foreign investors and international investors choosing between structures, since offshore entities are usually built for international business, asset holding, and tax advantages rather than local operations, while mainland company formation in Dubai is typically used for businesses needing full access to the UAE market. They are also commonly considered for tax benefits, including no corporate or income tax and no income tax in the usual offshore sense, although rules should still be reviewed based on the planned activities and jurisdiction.
Simple processHow to set up an offshore company in Dubai — 5 steps
- Choose the jurisdictionRAK ICC, JAFZA or Ajman, based on cost, property plans and banking needs for your UAE offshore company. We advise on the fit in the first call and explain the rules of the respective offshore jurisdiction, including the specifics of offshore company formation in RAK ICC.
- Reserve the company nameNames must end in "Limited" or "Ltd" and avoid restricted words as part of the company registration process.
- Prepare KYC documentsPassport copies, proof of address, bank reference and CV for each shareholder; the registered agent or service provider files them with the relevant offshore authority. These company documents support offshore company registration and ongoing compliance for the offshore entity.
- Sign the incorporation documentsMOA and Articles are drafted by the agent as part of the offshore company set-up, and the offshore license is issued after approval. RAK ICC incorporation typically completes in 3–7 working days, and many firms bundle this within offshore company formation services.
- Open the bank accountIf you want to open an offshore structure for asset holding or global trade, we prepare the compliance file and introduce you to UAE banks that accept offshore structures. Opening an offshore bank account usually requires detailed due diligence, and this step is often coordinated alongside Dubai company formation planning to support future business operations.
What documents do you need?
For each shareholder and director: a passport copy, proof of residential address (utility bill or bank statement, under 3 months old), a bank or professional reference letter, and a short CV or business profile. Corporate shareholders of UAE companies may also add their certificate of incorporation, MOA, board resolution approving the new company, and related company registration records. These company documents are submitted through the registered agent or service provider for offshore company registration in the respective offshore jurisdiction, in line with anti-money laundering and KYC regulations. For offshore companies registered in Dubai, the setup requires at least one shareholder. After incorporation, you can also proceed with an offshore bank account as part of the bank account process.
Transparent pricingWhat does offshore company setup in Dubai cost in 2026?
The main company documents required for offshore company registration when you open an offshore company in the UAE offshore company structure vary by jurisdiction and service provider, and the total first-year cost for a RAK ICC company runs AED 10,000–14,000 including government fees and offshore company formation services. JAFZA Offshore runs AED 20,000–28,000 as part of broader Dubai company formation planning. Renewals cost less than year one because name reservation and incorporation fees fall away. There is no minimum share capital requirement in RAK ICC, and an offshore company set up for a company in the UAE with corporate shareholders may require extra registration documents if the shareholder is a UAE company or another offshore entity registered in a different jurisdiction.
2026 rulesTax and compliance: what changed
Two rules changed recently, and some firms advertise RAK Offshore Company setup from around AED 8,500, but a realistic first-year total for a UAE offshore company with registered agent or service provider support is usually higher, as shown here.
Corporate tax (2023)
The UAE introduced 9% corporate tax on profits above AED 375,000. For foreign investors and international investors comparing an offshore license with a company in the UAE for international business, the main tax advantages and tax benefits depend on whether the structure earns UAE-sourced income. Offshore entities are juridical persons: they generally must register with the Federal Tax Authority, but a company that is non-resident and earns no UAE-sourced income typically has no corporate or income tax to pay, including no income tax in the usual offshore case. That is why many international companies use a UAE offshore company for asset management, wealth management, holding business assets, and other cross-border structuring, though each case still needs a one-time assessment — we include it in setup.
Economic Substance Regulations (cancelled 2024)
Cabinet Decision No. 98 of 2024 removed ESR filing requirements for financial years ending after 31 December 2022. Offshore companies no longer file ESR notifications or reports. Record-keeping duties under company regulations still apply, and renewals pricing depends on what offshore company formation services are included, such as document handling or banking support.
Can an offshore company open a UAE bank account?
Yes. All three jurisdictions' companies can open UAE corporate accounts, and a registered service provider can help structure the application for an offshore bank account. Banks apply enhanced due diligence to each offshore entity, so approval depends on a clean source-of-funds story, complete company documents, and real business activity. Many banks also look for evidence of genuine business operations, especially when a UAE offshore company wants multi-currency access for routine international transactions. Digital-first banks decide in days; traditional banks take 2–4 weeks. We prepare the file and match you to banks that actually accept your profile.
Common questionsOffshore Company Formation FAQs
How long does offshore company formation in Dubai take?
RAK ICC and Ajman: 3–7 working days once KYC documents are complete. JAFZA Offshore: 2–4 weeks. Add 2–4 weeks for a UAE offshore bank account or corporate account, including multi-currency facilities for international transactions.
Can I get a UAE residence visa with an offshore company?
No. Offshore companies cannot sponsor visas. If you need residency, set up a free zone company (visas from the license) in one of the best UAE free zones for company formation or pair the offshore holding company with a free zone subsidiary.
Do I need to visit the UAE to incorporate?
Usually not for RAK ICC — incorporation can complete through the registered agent or another approved service provider. Banks may require one in-person meeting for account opening, and enhanced due diligence must meet anti-money laundering and KYC regulations.
How do I change my registered agent?
Submit a change-of-agent request to the registry in the respective offshore jurisdiction with the new agent's acceptance letter, the company's board resolution, and up-to-date KYC for shareholders. The registry or offshore authority transfers the file; the company keeps its number and history. We handle transfers to A&A Associate at no charge, including offshore company formation services for offshore companies registered in the UAE.
Can an offshore company own property in Dubai?
JAFZA Offshore companies can own property anywhere in Dubai open to foreign ownership. RAK ICC companies can own in specific approved developments. Ajman Offshore companies cannot.
Is an offshore company in Dubai legal and recognised?
Yes. RAK ICC and JAFZA operate under UAE regulations, and companies get certificates of incorporation, good standing and incumbency that banks and registries worldwide accept, along with company documents banks review for ongoing business operations.
